Terms of Service

The terms that govern your use of LienDone.

1. Agreement

By creating a LienDone account or using the service, you agree to these Terms of Service. If you do not agree, do not use the service.

2. Service description

LienDone is a web application that lets U.S. construction general contractors create projects, add subcontractors, and send statutory lien waiver requests. Subcontractors receive a tokenized link, review the pre-filled waiver, and sign electronically without creating an account.

Signed waivers are rendered as PDFs that include the signer's name, title, signature image, signing IP, and timestamp. Electronic signatures captured by LienDone are legally binding under the U.S. ESIGN Act and applicable state Uniform Electronic Transactions Act statutes.

Plans, prices, and feature limits are described on the pricing page. We may change features and pricing with reasonable notice.

3. Accounts

You are responsible for keeping your credentials secure and for all activity on your account. Notify us promptly at security@liendone.com if you suspect unauthorized use.

4. Billing and subscriptions

Paid subscriptions are billed through Polar Software Inc. ("Polar"), which acts as the merchant of record for these transactions. Polar collects payment, issues receipts, and remits applicable taxes and VAT on our behalf.

Subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled. You may cancel at any time from Settings or via the Polar customer portal; cancellation takes effect at the end of the current period.

Refunds are governed by our Refund Policy.

5. Fair use

Plans include reasonable usage limits to protect the service. We may rate-limit or temporarily suspend accounts that abuse the service through automated scraping, mass account creation, malware, or other behavior that degrades service for other users.

6. Your content

You retain all rights to the project, subcontractor, and waiver data you put into LienDone. You grant LienDone a limited license to process that content solely to provide the service to you and to the subcontractors you invite to sign.

You are responsible for ensuring that the project and subcontractor information you enter is accurate and that you have the right to invite each subcontractor to sign a waiver.

7. Electronic signatures

By signing a waiver via LienDone, the signer agrees that their electronic signature is legally binding to the same extent as a handwritten signature, in accordance with the U.S. ESIGN Act, 15 U.S.C. § 7001 et seq., and applicable state UETA statutes.

We retain a hash of the signed PDF, the signing IP address, the signing timestamp, and the unique signing token for each waiver as evidence of intent to sign.

8. Prohibited use

You agree not to use LienDone to: violate any law, infringe intellectual property rights, attempt to access another workspace's data, reverse-engineer the service, or upload content that contains malware. You agree not to forge signatures, impersonate a subcontractor, or send waivers to people without a legitimate business relationship.

9. Termination

You may delete your account at any time. We may suspend or terminate accounts for material breach of these terms. Outstanding subscription fees remain payable through the end of the period.

10. Disclaimers

LienDone is provided "as is." We do not warrant that the service will be error-free or uninterrupted. The statutory waiver templates are based on the cited state codes as of the last updated date; you are responsible for confirming that the form you choose is appropriate for your transaction. We are not your lawyer; the templates do not constitute legal advice.

11. Limitation of liability

To the maximum extent permitted by law, LienDone's aggregate liability is limited to the amount you paid for the service in the twelve months preceding the claim.

12. Changes

We may update these terms; material changes will be communicated by email or in-app notice. Continued use after the effective date constitutes acceptance.
